Terms and Conditions of Use
1  General Provisions
The Terms and Conditions of Use (hereinafter referred to as the “Terms and Conditions”) shall define the terms and conditions of the services (hereinafter referred to as the “Services”) provided by Nihon Denkei Co., Ltd. (hereinafter referred to as “We” or “Us”) through Wave Global web site. We also define the terms of our business transactions with us (hereinafter referred to as the “Transactions”).
2 Definitions
Words and terms used in this Terms and Conditions have the following meanings:
2.1 The term “user” refers to a user of services and transactions registered with us.
2.2 The term “product” refers to a product that we provide to a user through the Transactions.
3  Scope of the Terms and Conditions
3.1 This Terms and Conditions shall apply to all relationships relating to Services and Transactions between the user and us.
3.2 Whenever necessary, we may prescribe additional terms to facilitate the smooth operation of Services and Transactions. Additional terms and conditions shall constitute a condition upon notification to the user.
4 Changes of the Terms and Conditions
We may amend these Terms and Conditions from time to time without the consent of the user. Any changes to these Terms and Conditions will take effect immediately after we notify the user of the changes in accordance with any of the appropriate notification methods defined in Article 9 below.
5 User Registration
In order to use the Services, the user shall agree to these Terms and Conditions and complete the user registration procedures as separately determined by us. We may refuse to register any user as a result of our defined screening process. In any such case, we will not disclose the reason for the rejection to the user.
6 Restrictions on User
6.1 Only a registered user can use the Services. The applicant becomes a user when the user registration is complete.
6.2 Notwithstanding the preceding clause, in the event the applicant is found to be inappropriate as a user after the user registration, we reserve the right to terminate the user registration of such a user or applicant.
7 Change of registration data
Any changes to the user registration data shall be made by notifying us of the changes through our site. We shall not be liable to the user for any damage or inconvenience caused by the use of the Services as a result of the user’s failure to notify us of any change in the user registration data.
8 Management of User ID, Password, etc.
8.1 The user must set a password after user registration is completed.
8.2 The user shall be responsible for managing the user ID and password. If a user ID and password are illegally used due to any cause for which we are not responsible, the user who owns such user ID and password shall be responsible for the illegal use. The user must not allow third parties to use the user ID and password, lend or transfer the user ID and password, change ownership of the user ID and password, sell or purchase the user ID and password, or collateralize or mortgage the user ID and password.
8.3 We will not be liable in any way to the user for any damage caused by the leakage or unauthorized use of the user ID and password, except for the case where the cause is ours. In the event we suffer damage due to the leakage or unauthorized use of the user ID and password by the user, we shall be entitled to claim compensation for damage from the user.
8.4 If the user ID is used without the permission of the owner, or if the user ID and password are leaked to a third party, the owner of the user ID and password shall immediately notify us.
9 How We Notify The User
Notices from us to the user shall be sent in any appropriate manner including but not limited to; through our site, mobile site, e-mail, conventional mail, etc.
10 Handling of user information
10.1 Certain user information, such as information registered with the user registration, and transaction history related to the Services, will be recorded on the computer we manage.
10.2 We use information such as user registration data and transaction history given to us for the following purposes.
10.2.1 Delivery of the product and provision of after-sales services.
10.2.2 For sending pamphlets, direct mails (DMs), faxes, and e-mails to distribute special sales information about our e-commerce business and other related services/businesses.
10.3  The company name, organization name, name of the person in charge, address, telephone number and e-mail address of the user collected by us for the provision or deposit of personal information shall not be provided or disclosed to any third party except in the cases that fall under any of the following:-
a) Where information including the server registration information in the preceding clause is necessary for the operation of the Services.
b) Where prior consent has been given to the use of registration information by the user.
c) Where our business partners* that have concluded a personal information disclosure Terms and Conditions, the handling of personal information is entrusted to the extent necessary for the achievement of the purpose of use disclosed to the user by us (business partners* are companies that delivers products, brochures, direct mail (DM),  telecommunication companies that forward telephone, fax, e-mail, label printing companies that print labels of products, address of the user and direct mail).
d) Where we use personal information together with our group companies to the extent necessary to achieve the purpose of use disclosed to the user.
e) Where we need to refer personal information to a personal credential recording institution to confirm the ability of the user to pay.
f) Where we must respond to a court order for the provision of personal information pursuant to any applicable laws and regulations.
g) Where we need to provide the company that manufactures the products with the specific personal information necessary to prepare export-related documents to comply with the applicable laws and regulations.
h) Where we need to protect our own rights and/or resources.
i) Where we need to protect the interests of any other user.
11 User Responsibilities
11.1 The user shall fulfil the conditions of use of the network related to the Services and shall comply with the operating procedures, various terms and conditions and all applicable regulations. When using The Services, the user must not:
a) Use the Services for purposes other than purchasing the products.
b) Do any act which is (or may result in) infringement of any copyright, trademark and other rights whatsoever owned by any third party or us relating to any information contained in the Services.
c) Disturb or interfere with the server or network in connection with the Services.
d) Interfere with the operation of the Services by any means.
e) Acquire two or more IDs that use fictitious names, announce themselves as representatives of organizations or companies without representative/agency rights, disguise alliances/partnerships with others or organizations, or fraudulently use them.
f) Breach, intentionally or negligently, any of these Terms and Conditions or any of the applicable laws and regulations.
g) Illegally use or cause a third party to use a user ID or password.
h) Tamper with the data provided through the Services without our prior written consent and approval.
i) Use the product in a location other than the country or territory where the product was delivered.
j) Re-export any product without our prior written approval.
k) Carry out any resale of any product without our prior written approval.
11.2 We may expel the user or temporarily suspend its use of the service if the user does any of the actions described in paragraph 1 of this Article or if the user’s actions fall under any of the following.
a) The user delays or defaults on the payment of any debts arising out of the Services or Transactions.
b) If we (at our sole and absolute discretion) determine that the user is inappropriate as a user for any reason whatsoever.
11.3 The user is solely responsible for its actions to comply with all applicable laws and regulations and the user must not divert any product if such actions violate any of the applicable laws and regulations. The product is subject to the applicable laws and regulations of Japan and Singapore.
12 Compliance/Export Control
12.1  The user shall comply with the laws and regulations of Japan, Singapore and the user’s country relating to export control and any other export laws and regulations of any country with jurisdiction and declare that:
12.1.1 The user shall not use the product for the development, design, or manufacture of weapons of mass destruction, such as nuclear weapons, biological weapons, chemical weapons, missiles, or conventional weapons, or for any use relating to such weapons or actions.
12.1.2 When reselling or transferring the product, the user shall confirm to us the end user and end use.  The user will not deal with any end user whose end uses are for or relating to nuclear, biological, chemical, missile, or other weapons of mass destruction, or conventional weapons, or in the event any such end user or end uses are suspected of any of the aforesaid.
12.1.3 When exporting products from the user’s country to a foreign country or transferring technical information, the user shall comply with all export-related laws and regulations of the user’s country of residence.
12.2 The user is aware that our business practices prohibit bribery and corruption in any way. The user agrees that it is an independent contractor and will continue to comply with all applicable laws relating to money laundering, terrorism, commercial or formal bribery, or dealings with government officials. The user must not provide or provide anything directly or indirectly valuable to government officials (cash or cash equivalents, gifts, loans, travel, entertainment or any other similar benefit) for the purpose of influencing any action or decision in connection with the purchase and resale of any product ordered through or from us. The user shall not pay any tips, bribes or incentives to any government officials.
13 Government Sanctions and Restricted Entities
The user represents and warrants that the user is not listed on any one of the Restricted and Prohibited Party Lists specified by the U.S. Government or the Foreign User Lists of the Ministry of Economy, Trade and Industry of Japan (“METI”) or is in any way associated with any persons or entities in any of these lists including the following:-
13.1 Ministry of Commerce’s Bureau of Industrial Security (“BIS”) denied party list (“Denied Persons List”), entity list (“Entity List”) or unidentified list (“Un-Verified List”).
13.2 United Nations sanctions by the Office of Foreign Assets Control (“OFAC”), United States embargoes, governmental agencies of countries sponsoring terrorism, and a listing of companies and individuals, including affiliates (“Specially Designated Nationals Sanction Lists”).
13.3 List of Prohibited Parties (“List of Statutorily Debarred Parties”) of the Department of State’s Defence Trade Control Division (“DDTC”).

14 Sales Quotation, Method of Ordering Goods
14.1 After the user register as a user, the user can select the product and use the Services to request for a quotation. When using the online Services, the user must enter the user’s ID and password.
14.2 After receiving the quotation request, we will issue an official quotation with details such as payment terms, lead time, shipping charges, GST, shipping terms.
14.3 The user will issue a company purchase order or make payment to us to confirm the order of a product.
15 Transfer of Property
After we receive the payment from the user based on the quotation terms, the property is transferred to the user upon delivery of the product.
16 Delivery Policy
16.1 We shall deliver the product to the address stated on the order or such other address notified by the user and agreed to by us in writing.
16.2 We shall deliver the product using such carrier or other form of transport we consider appropriate. The user shall be responsible for the cost of delivery in addition to the price of the product unless stated otherwise.
16.3 We are not liable to the user for any part delivery or delay in delivery of the product caused by events occurring beyond our control. We are not responsible for any loss or damage or delay directly or indirectly arising from such partial or delayed delivery.
17 Product Warranty
17.1 The user shall inspect the contents and the product immediately after the arrival of the product. If the product is defective, the user shall notify us by e-mail from the address registered by the user at the time of user registration within 7 calendar days from the user’s receipt of the product. If we do not receive such notice within 7 calendar days, the product is deemed to have passed the user’s inspection.
17.2  If we receive such a notice, we will process the notice as follows:
a) If the product is defective, we will replace the defective product with a new one.
b) If the delivered product is not the same as the ordered product, we will replace the delivered product with the ordered product.
c) If a part of the product is not delivered, we will deliver that undelivered part of the product or the warranty provided by the manufacturer or seller of the product (hereinafter referred to as “Guarantor”). Such warranty is subject to the Guarantor’s policy and may not be applicable outside of Japan.
17.3 In the event any defects in the product are found at the time of delivery, we will send a replacement product according to the preceding clause.
17.4 We shall only be liable for damages to the user caused by defects in the product up to the upper limit of the unit price of the product. However, we shall not be liable for any consequential loss of profits related to the use of the product resulting from the matters described in this Article 17.
17.5 The return of the product shall be made within 7 calendar days from the date of acceptance of the return, in accordance with the method designated by us. If the product is not returned within the above period, we may cancel the request for return and charge the user the price of the product because the user determines that the user does not intend to return the product.
17.6 Prior to returning the product, the user must pack the product sufficiently so that it can withstand transportation. If the product is damaged due to the negligence of the user, we may cancel the request for return of the product and charge the user the price of the product.
17.7 In the event the product ordered by the user is delivered to the “Delivery Address” stated in the order confirmation and the user refuses to receive the product for any reason, we may charge a fee equivalent to the price of the product and the delivery fee to and from the user.
18 Copyrights
In this service, the copyright of the database, design and layout of pamphlets and the copyright of our site, mobile site, screen showing product information, etc. belong to us. The user must not copy, sell, or publish any information obtained through or from us. The user must not use the information contained in these brochures, our site and mobile sites to provide services similar to the Services or any other competitive services.
19 Exclusions
19.1 We will promptly notify the user of any unusual natural phenomena or unavoidable matters such as enactment/change/abolition of laws and regulations, traffic accidents, warnings or reprimands of public authority, accidents during transportation, labour disputes, war, etc.
However, if the user suffers a loss due to any of the above reasons, we and our distributor shall not be liable to compensate the user for such loss.
19.2 We pay special attention to security when the user enters their personal information online. However, the user must be aware of the risk of information leakage even in such a protected environment and must agree that personal information provided to us is not necessarily 100% secure.
19.3 The Services are provided from Japan and the user agrees in advance that the product may not conform to the standards of the user’s country. Neither we nor our distributor shall be liable to compensate the user for any loss due to issues, trouble or injury caused by a difference in the standards of Japan.
19.4  The users agrees that we may simplify the product or the instructions and manuals relating to the use of the product, provided that the user as a business has certain knowledge of the product. The user also agrees that the packaging of the product may be simplified. The user shall be responsible for any accidents or injuries caused by improper use of the product even if the user does not understand the characteristics of the product. The user has to recognize that there might be translations at our site, mobile site or brochure and may have original language information, including in Japanese. If the user needs to know the correct and accurate information or needs further clarifications, the user must contact us before purchasing any product.
20 Transactions with Advertisers
Any communications or transactions by the user relating to advertisements, links or PR information displayed on the screen of the services shall be proceeded at the sole risk and responsibility of the parties concerned and we shall not be responsible in any way whatsoever for any such communications or transactions.
21 Changes in the Services, Prices and Specifications
Even during the term of validity of brochures, leaflets, etc., part or all of the services may be changed without prior notice to the user. The prices or specifications of any product listed are subject to change or termination without prior notice to the user.
22 Suspension of Services
We may suspend some or all of the Services without prior notice to the user if any of the following are applicable:
22.1 If urgent inspection or renewal of the Services is required
22.2 Cases where it is difficult to provide the Services due to accidental or unexpected events such as fire, power failure, or natural disaster.
22.3 If we need to temporarily suspend the Services for operational or technical reasons or if we find it difficult to provide the Services due to contingencies.
23 Refusal to Provide Services
We may refuse to provide any of the Services even after the provision of the Services has been approved if any of the following causes are or may be applicable: We may reimburse the price of the product paid by the user if the following causes occur for any reason attributable to us:
a) If the user’s address or the delivery address of the product cannot be identified.
b) In the event of a suspension of delivery of the product by customs.
c) If the user breaches any of these Terms and Conditions of Use.
d) If we deem it is inappropriate to provide the service.
24 Governing Law
The enactment, validity, enforcement and interpretation of these Terms and Conditions shall be governed by the laws of Singapore. The United Nations Convention on Contracts for the International Sale of Goods (CISG) shall not apply.
25 Jurisdiction 
In the event of any dispute or issues with or in relation to these Terms and Conditions, the user submits to the exclusive jurisdiction of the courts in Singapore for the resolution of such disputes or issues.
26 Subject of Discussions
In the event any doubt as to the interpretation of any such subject or section with respect to any subject not defined or dealt with in these Terms and Conditions or any provision contained herein, the user and we shall discuss and reconcile such doubt in good faith.
